Evernorth's SEC Clearance Puts XRP Nasdaq Debut One Vote Away

The SEC declared Evernorth Holdings' Form S-4 registration statement effective on August 27, removing the main regulatory barrier between the XRP treasury firm and a public listing. The registration effectiveness means Evernorth can now merge with Armada, a Nasdaq-listed SPAC, and go public — if shareholders approve the deal during a vote set for September 30.

Asheesh Birla, founder and CEO of Evernorth, called it "an important milestone toward completing our proposed business combination." The company has been working toward this since October 2025, and the path to Nasdaq now runs through a single ballot.

The S-4 registers up to 34,499,992 shares of Evernorth Class A common stock and 11,499,992 warrants issuable in the combination. The combined company is expected to trade under the ticker "XRPN," subject to the completion of the business combination and satisfaction of customary listing conditions.

What Evernorth Actually Is — and Why It Differs From an ETF

Evernorth belongs to a category of company known as a digital asset treasury, or DAT — a publicly traded firm that holds a cryptocurrency on its balance sheet and raises fresh capital to buy more of it. Where Strategy pioneered the model around Bitcoin, Evernorth is built entirely around XRP, with plans to actively deploy the treasury through DeFi yield, validator operations, and ecosystem investment.

Unlike ETFs, Evernorth intends to actively grow its XRP per share through a mix of institutional and DeFi yield strategies, ecosystem participation, and capital markets activities. That distinction matters structurally: ETFs buy XRP, hold it, and that's it. A digital asset treasury is designed to actively participate in the ecosystem, not just passively accumulate — it can deploy assets on-chain, generate yield, and encourage adoption.

U.S. spot XRP ETFs currently hold roughly 994.74 million XRP across seven funds, with approximately $1.51 billion in cumulative net inflows, while Evernorth has disclosed more than 473 million XRP purchased and committed, including an 84.4 million XRP cash buy at an average of roughly $2.54 per XRP.

The Funding Loop — and Where It Gets Complicated

The company said it has raised more than $1 billion in gross proceeds from institutional and strategic investors, including Ripple, SBI Holdings, Pantera Capital, Kraken, and Arrington Capital. Armada II is itself a SPAC sponsored by Arrington XRP Capital Fund.

The entry price, though, sits above current market levels. Evernorth spent roughly $947 million buying XRP in late October, and by February it was sitting on a stash worth about $446 million less than it paid. XRP has kept sliding since, trading near $1.37 — well off its July 2025 all-time high of $3.65.

That gap is the real variable Armada shareholders are being asked to price on September 30. SEC effectiveness doesn't mean the regulator has endorsed the merger, Evernorth's business model, or XRP as an investment — it just clears the paperwork for the vote to happen. If the vote passes, the company expects to become the largest publicly traded XRP treasury, holding at least 473 million XRP at launch.

What Comes Next

Armada shareholders of record as of August 20 will vote on the transaction on September 30, 2026. Evernorth expects the deal to close in late September or October, subject to approval and customary conditions.

Evernorth has also amended its transaction terms to reset the deal to reflect changes in XRP's price since signing at $2.36, which is expected to reduce the total share count so each common share represents a larger percentage of the treasury. The adjustment is designed to keep capitalization aligned with the market value of underlying XRP — a structural concession that signals management is aware of how shareholder optics matter going into the vote.

XRP is currently the world's fifth-largest cryptocurrency by market capitalization, at $91.6 billion. Whether XRPN lists at a premium or a discount to that NAV will define how credible the DAT model looks for XRP — and whether any competitor treasury firms will follow it onto public markets.
